SMS Terms & Conditions

These Terms & Conditions (“Agreement”) govern your use of the SMS messaging services (“Services”) provided by Elson Capital LLC (“Company,” “we,” “our,” or “us”). By opting in to receive SMS messages from us, you agree to these Terms & Conditions.

1. Program Description

By subscribing to our SMS program, you consent to receive recurring text messages from Elson Capital LLC regarding:

  • Appointment reminders

  • Project updates

  • Support and customer service communications

2. Opt-In

You may opt in to receive SMS messages from Elson Capital LLC in the following ways:

  • By providing your mobile number on our booking forms or intake documents and expressly agreeing to receive messages.

  • By signing a contract or proposal with a checkbox or clause that authorizes SMS communication.

  • By texting a designated keyword to our phone number.

By opting in, you represent that you are the account holder or authorized user of the mobile number provided.

3. Message Frequency

Message frequency may vary depending on project activity, but you can generally expect:

  • 1–3 appointment reminders per booking

  • 1–4 project-related messages per month

  • Occasional promotional or marketing offers (no more than 4 per month)

4. Opt-Out

You may opt out of SMS messages at any time by replying STOP to any message you receive. You will no longer receive text messages from us.

If you wish to re-subscribe, you may reply START or opt in again through our forms.

Message and data rates may apply. Carriers are not liable for delayed or undelivered messages. Service is available on most major U.S. carriers but may not be supported in all regions.

8. Limitation of Liability

1. Eligibility & Acceptance

  • You must be at least 18 years old (or have legal parental/guardian consent) to use our services.

  • By using our services, you affirm that you have the authority to enter into a binding agreement with us.

  • If you do not agree to these Terms, you may not use our website or services.

2. Services & Engagement

  • Services are provided on a project or subscription basis, as outlined in signed contracts, proposals, or invoices.

  • We reserve the right to refuse service if a client fails to meet payment obligations, misuses our work, or engages in unlawful activity.

  • All services are subject to availability and scheduling.

3. Payments & Billing

  • Payment terms, deposits, and due dates are defined in your contract or invoice.

  • Late payments may incur fees and/or result in suspension of services until payment is received.

  • We may use third-party payment processors; their terms also apply.

  • Deposits are generally non-refundable unless otherwise stated in writing.

4. SMS, Phone & Email Communications

  • By providing your contact information, you consent to receiving communications related to services, reminders, and promotions.

  • SMS/Text Notifications may include: appointment reminders, project updates, payment confirmations, and promotional offers.

  • Standard carrier rates may apply.

  • You may opt out of promotional SMS at any time by replying “STOP” or contacting us at admin@elsoncap.com

  • Even if you opt out, you may still receive essential service-related messages.

5. Content Ownership & Intellectual Property

  • All creative work (videos, photos, graphics, designs) produced by us remains our property until full payment is received.

  • Upon payment, usage rights transfer to the client as outlined in the contract.

  • We reserve the right to use non-confidential work samples (e.g., video clips, photos) in our portfolio, social media, and marketing unless otherwise agreed in writing.

  • Clients are responsible for securing rights to any third-party materials they provide to us (music, logos, images, etc.).

6. Client Responsibilities

  • Clients must provide accurate information, timely feedback, and access necessary to complete projects.

  • Delays caused by client actions (missed deadlines, unresponsive communication, restricted access, etc.) may result in project delays or additional charges.

  • Clients are responsible for ensuring that their use of our content complies with applicable laws and industry regulations.

7. Cancellations & Refunds

  • Cancellation terms are defined in the service contract.

  • Deposits are non-refundable unless otherwise agreed in writing.

  • If a project is canceled after work has begun, the client may be responsible for payment proportional to the work completed.

8. Limitation of Liability

  • We strive to provide high-quality services, but we cannot guarantee specific business results (such as sales, views, or leads).

  • We are not liable for indirect, incidental, or consequential damages arising from your use of our website or services.

  • Our total liability for any claim will not exceed the amount you paid for the service in question.

9. Indemnification

You agree to indemnify and hold harmless Elson Capital LLC, its officers, employees, and affiliates from any claims, damages, liabilities, or expenses arising out of:

  • Your use of our services or website;

  • Your violation of these Terms;

  • Your violation of third-party rights, including intellectual property or privacy rights.

  • We are not responsible for issues or damages caused by third-party platforms but will assist in resolving problems where possible.

11. Governing Law & Dispute Resolution

  • Any disputes shall be resolved in the state or federal courts located in Kings County, New York.

  • Both parties waive any right to trial by jury in any action or proceeding.

  • Before taking legal action, both parties agree to attempt resolution through good-faith negotiation.
